Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FleetMS, a multi-tenant fleet-dispatch platform operated by Steven Sng Labs(“Operator”, “we”, “us”), a sole proprietorship registered in Malaysia. By creating an account or using the service, you agree to these Terms.

1. Service

FleetMS provides web-based dispatcher tools and a WhatsApp-driven driver loop for chauffeur and fleet operations. Features available depend on the subscription plan selected by the tenant organisation.

2. Accounts

  • The tenant’s registered org admin is responsible for inviting, managing, and revoking access for staff users within their workspace.
  • You must keep your login credentials confidential and notify the Operator immediately of any suspected unauthorised access.
  • The Operator may suspend accounts that materially breach these Terms or threaten platform stability.

3. Acceptable use

You agree not to:

  • Use FleetMS to send unsolicited messages outside the legitimate driver-dispatch flow.
  • Reverse-engineer, scrape, or attempt to bypass authentication, RLS, or rate limits.
  • Upload personal data without a lawful basis under the applicable privacy regime.
  • Resell access without a written reseller agreement with the Operator.

4. Subscription & billing

FleetMS is offered on monthly subscription plans. Pricing is shown in-app and is denominated in Malaysian Ringgit (RM). Billing is currently invoiced manually during the design-partner pilot; self-serve billing via Stripe is forthcoming. Plans, prices, and seat limits may change with 30 days’ notice to the org admin.

5. Tenant data

You retain ownership of all data you upload to FleetMS. The Operator processes that data only as necessary to deliver the service and as described in the Privacy Policy. On termination, tenant data is retained for 90 days during which it can be exported, then permanently deleted.

6. Availability

The Operator targets 99% monthly availability for the dispatcher app but does not commit to a contractual SLA during the pilot. Maintenance windows are announced in advance where practical.

7. WhatsApp integration

The driver-loop feature relies on Meta’s WhatsApp Cloud API. The tenant is responsible for maintaining their own WhatsApp Business Account (WABA) and complying with Meta’s commerce + messaging policies. The Operator is not liable for messaging failures caused by Meta-side rate limits, suspensions, or policy changes.

8. Disclaimers

FleetMS is provided “as is”. To the maximum extent permitted by Malaysian law, the Operator disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

The Operator’s aggregate liability under these Terms in any 12-month period is limited to the amount paid by the tenant for the service in that period. The Operator is not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate these Terms with 30 days’ notice. Material breach not cured within 14 days of written notice may result in immediate suspension. Upon termination, the tenant remains responsible for fees accrued through the termination date.

11. Governing law

These Terms are governed by the laws of Malaysia. Disputes will be submitted to the exclusive jurisdiction of the courts of Kuala Lumpur, without prejudice to the right to seek injunctive relief in any competent jurisdiction.

12. Changes

Material changes to these Terms will be communicated to the tenant’s registered org admin via email or in-product notice at least 30 days before taking effect.
